Utilizing our services signifies your full acceptance of these Terms, alongside our Privacy Policy. This document supersedes all previous agreements or understandings.
2. Key Definitions
- Drive Poser / Provider: Refers to the entity supplying the software, hardware, and services.
- Client / You: The person, company, or organization utilizing our solutions.
- Offerings: All software applications and hardware devices provided by Drive Poser.
- Private Data: Any identifiable information governed by data protection laws.
3. Acceptable Use
As a user, you agree to comply with the following:
- Fill out all required onboarding and registration paperwork.
- Digitally accept these Terms via our user portal.
- Adhere strictly to the operational guidelines provided.
You are strictly prohibited from:
- Altering, hacking, or reverse-engineering our hardware or software.
- Renting, reselling, or distributing our services without explicit written approval.
- Introducing viruses, malware, or destructive code to our network.
- Scraping or extracting platform data without authorization.
- Utilizing our ecosystem for illegal activities or to build a competing product.
4. Billing and Subscriptions
- Pricing: Subscription fees are collected on a monthly prepay basis. We will notify you at least 30 days prior to any rate changes.
- Overdue Accounts: Failure to pay on time may lead to service interruption and late penalties.
- Taxation: You are solely responsible for covering all state, federal, or local taxes associated with your purchase.
5. Hardware Policies
- Handling: Equipment must be handled properly and maintained in good operational condition.
- Coverage: Devices may come with a limited warranty. We reserve the right to repair or replace defective hardware at our own discretion.
- Refunds: Devices can be returned within 30 days of receipt, subject to physical inspection and potential restocking charges.
6. Copyright and Ownership
- Drive Poser holds all proprietary rights to the platform, code, and physical devices. We grant you a restricted, non-transferable license for operational use.
- We collect and analyze anonymized metric data to optimize our system, as detailed in our Privacy Policy.
7. Non-Disclosure
- Both Drive Poser and the client commit to keeping shared business information strictly confidential for a period of 7 years, unless the information is already public knowledge.
8. Limitation of Liability
- We are not liable for any consequential or indirect business losses. Our maximum financial liability is capped at the total fees you paid us over the preceding six months.
- You agree to protect us from claims resulting from your misuse of the platform. Conversely, we will protect you from third-party claims stemming directly from flaws in our proprietary tech.
9. Contract Duration and Cancellation
- Your contract begins upon account creation and automatically renews every year unless formally terminated.
- Either side can end the agreement by giving a 30-day notice. However, we can terminate immediately if you violate critical terms or fail to pay.
- Upon cancellation, you must stop using the software, ship back any leased hardware, and clear all pending invoices.
10. Handling Disputes
- We prefer to resolve any conflicts through amicable mediation. If mediation fails, the dispute will escalate to binding arbitration or court, depending on specific contractual stipulations.
11. Miscellaneous Provisions
- We are not accountable for service outages caused by unforeseen external events (Force Majeure).
- Formal legal notices must be delivered via certified mail, courier, or verified email.
- You cannot transfer this contract to another party without our permission. We may transfer our rights provided we notify you.
- If a court deems one specific clause invalid, the rest of this document remains fully enforceable.
- This document, combined with our Privacy Policy, constitutes the complete understanding between us.
12. User Acknowledgement
- By creating an account and utilizing Drive Poser, you officially state that you have read, understood, and consented to these Terms of Service.
